Binding Upon Acceptance
1. Overview
These Channel Partner Terms ("Terms") form a legally binding agreement between Musa Ventures Pty Ltd (ABN 73 657 651 708) of Sydney, Australia ("Musa") and you, the Partner. Musa provides a funding readiness assessment and navigation platform ("Platform") designed to support the investment preparedness of startups and SMEs. Partners are organisations within the entrepreneur support ecosystem, including accelerators, incubators, associations, funders, consultants, and capacity-building organisations.
2. Pilot Access Terms
As part of a 3-month pilot, Musa grants you free access to:
- Up to five (5) venture health assessments ("dashboards") for ventures nominated by you.
- A partner dashboard to view non-identifiable insights, where permitted.
- A single user account with access to basic analytics and pilot feedback features.
No payment details are required during the pilot.
3. Post-Pilot Transition
At the end of the pilot period or upon exceeding the 5-dashboard cap (whichever occurs first):
- Your account will automatically transition to a Free Subscription Tier, with limited feature access (e.g., 1 active venture dashboard, limited analytics).
- You may choose to upgrade to a Paid Subscription Tier to access additional dashboards, data insights, and support.
- Payment details will only be collected at the time of upgrade.

4. Partner Contributions (What Musa Requires in Return)
To participate in this pilot, Partner agrees to:
- Participate in at least one collaborative feedback session (e.g., call, survey, or workshop) with Musa during or after the pilot.
- Permit Musa to publicize your participation, including logo use and program mention in Musa decks, reports, and website (you may opt out by written notice).
- Provide at least one use case or testimonial, or collaborate on a public case study describing your experience, subject to mutual approval.
5. Venture Data & Consent
- All data submitted by ventures belongs to the venture.
- Ventures may opt out of sharing their assessment data or dashboard access with you as a Partner.
- Partners may only access venture data where the venture has explicitly consented.
- Musa provides only aggregated or de-identified data unless venture-level access is permitted.
6. Use of Platform
Partners may use the platform solely to:
- Identify and support funding readiness of ventures in their ecosystem.
- View permitted venture dashboards and insights.
- Participate in pilot learnings and ecosystem collaboration.
Commercial reselling, sublicensing, or unauthorised reproduction of Musa's tools or data is prohibited.
7. IP & Brand Use
- Musa retains all intellectual property in its platform, tools, and methodologies.
- You retain ownership of your own branding and any pre-existing materials.
- Jointly developed case studies or reports will be co-branded with mutual attribution.
- Musa may display your logo to acknowledge your involvement, unless you opt out.
8. Confidentiality
All non-public platform features, assessment methodologies, and shared program insights are confidential and must not be disclosed outside your organisation without written permission. Confidentiality obligations survive the pilot.
9. Limitation of Liability
Musa's liability under this agreement is limited to $1 AUD. The platform is provided "as is" during the pilot, with no guarantees of uninterrupted access, accuracy, or results.
10. Termination
Either party may terminate this agreement at any time by written notice.
Upon termination, access to the platform will be revoked, and any shared data or content must be deleted upon request.
11. Governing Law
This Agreement is governed by the laws of New South Wales, Australia.
Disputes will be resolved through good faith negotiation, and if unresolved within 30 days, referred to mediation under the Australian Disputes Centre rules.
12. Acceptance
By checking "I Agree" and accessing the platform, you:
- Confirm that you are authorised to accept on behalf of your organisation
- Agree to be bound by these Terms
- Acknowledge that your use of the platform is subject to these legally binding conditions
